The European Commission, pursuant to Article 6(1)(b) of Council Regulation (EC) No 139/2004 (the Merger Regulation), reviewed the proposed acquisition of sole control of Keystone Foods Intermediate LLC by Marfrig Alimentos S.A., notified on 18 August 2010, which qualified as a concentration of EU dimension given the parties' combined worldwide turnover exceeding EUR 5 billion and individual EU-wide turnovers each exceeding EUR 250 million. The Commission assessed horizontal overlaps in processed beef and processed poultry markets and vertical relationships between primary/processed meat supply and contract logistics and freight forwarding services, finding that combined market shares remained below levels raising competitive concerns under any plausible product or geographic market definition. The Commission declared the concentration compatible with the internal market and the EEA Agreement, concluding that the transaction does not give rise to a significant impediment to effective competition.AI
