delivered the opinion of the Court.

The Memphis Gayoso Gas Co. sued the City of Memphis in the First Circuit Court of Shelby county, and declared on a subscription of ten thousand dollars ($10,000) by the City in the stock of the Memphis Gayoso Gas Co. The defendant pleaded nil debit, and a special plea of set-off, which latter plea it is not necessary further to notice.
