Plaintiff brought this action against Century Circuit, Inc. (“Century”) and the five individuals who constituted *342the Administrative Committee under Century’s Profit-Sharing Plan (“Plan”). The complaint was dismissed as to two of the individuals for lack of jurisdiction (Adams and McEachern). The remaining three will be referred to as “defendants”.
