PALMIERI, District Judge.

This is an action under Section 10(b) of the Securities and Exchange Act of 1934 and Rule 10(b) (5) promulgated thereunder. The plaintiff seeks damages alleging that defendants conspired to fraudulently induce plaintiff to purchase 536,280 shares of defendant Nuclear Corporation of America (Nuclear). The moving defendants are Bear, Stearns & Co.
