Fundamentally, , this case involves a conflict arising out of the effort of a wealthy businessman to take over, by stock purchase, the control of a bank, and the efforts of those presently in control of the bank to prevent the takeover. As will be seen, neither side played the game according to the rules, and play was suspended.
