TRASK, Circuit Judge:
Plaintiff-Appellee Urbatec, a California corporation specializing in the development of subsidized housing projects, sued Yuma County, Arizona for breach of contract.

Yuma County had invited proposals for the construction of 120 units of federally subsidized housing and tentatively accepted Urbatec’s proposal by a letter dated June 14, 1972.
