These consolidated actions arise out of the breach of a standby commitment agreement (“Standby Commitment”) between LTV Federal Credit Union (“LTV”) and UMIC Government Securities, Inc. (“UMIC”). LTV seeks a declaratory judgment that the Standby Commitment is unenforceable.
