On October 15, 1966, Pittsburgh Liquidating Corporation (plaintiff) and defendant entered into an agreement under which defendant agreed to pay one-half of its net profits for a ten year period to plaintiff in exchange for plaintiff transferring its assets to defendant. On January 12, 1973, plaintiff filed this action for an *332accounting of defendant’s profits.
