This case arose as a result of the assignment by petitioner, Chandler Associates, Inc. (Chandler), of respondent Paul J. Hrus-ka’s employment agreement and covenant not to compete to Pendle-Hansen-Bagne, Inc. and owner Scott Bagne as part of the sale of an insurance agency.
