(“GEC”) has made a tender offer in England for the stock of The Plessey Company pic (“Plessey”). Both companies are organized and doing business under the laws of Great Britain. The parties are before the Court upon Plessey’s motion for a preliminary injunction and GEC’s motion to dismiss.
