This is a shareholder derivative action. Martha Davidsohn and Martha Wade (“Plaintiffs”) are shareholders in Mortgage and Realty Trust (“Mortgage”), a Real Estate Investment Trust (“REIT”) which was organized under Maryland law. Plaintiffs filed the Complaint pursuant to Federal Rule of Civil Procedure 23.
