This case was brought by Albert and Phyllis Schwartz against North Carolina National Bank Corporation (NCNB), Hugh L. McColl, Jr., James H. Hance, Jr., Marc D. Oken, H.L. Culbreath, James W. Thompson and Robert H. Spilman, alleging in count one violations of Section 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78a,
