In this diversity action, plaintiffs Manchester Manufacturing Acquisitions, Inc., Gary A. Dineo, and Felix J. Weingart, Jr., allege that defendants

violated federal and state securities laws and made negligent misrepresentations in connection with the 1988 sale of the distribution warehouse business known as Manchester Manufacturing, Inc. (MMI).
