I. INTRODUCTION

The matter before the Court in this adversary proceeding is the defendant’s motion to dismiss the plaintiffs Complaint pursuant to Fed.R.Bankr.P. 7012 and Fed.R.Civ.P. 12(b)(6) for failure to state a claim upon which relief can be granted. The plaintiff filed an opposition to the motion, and the Court held a hearing on September 7, 1995.
