FLAUM, Circuit Judge.
Taracorp, Inc. (“Taracorp”) sued NL Industries, Inc. (“NL”) for indemnification of certain environmental clean-up liabilities under their March 4, 1985 Agreement. Exercising its diversity jurisdiction, the district court granted summary judgment for NL.
