In late 1990, several members of the board of directors of the respondent National Apartment Association (“NAA”), including

respondents Lisa Rochte (“Rochte”) and Christina Hubert (“Hubert”), determined that the executive director of the NAA, appellant Michele Pombo (“Pombo”), was violating certain NAA financial policies.
