Plaintiff Caremark, Inc., through its former parent company, Baxter International, Inc. (“Caremark”), entered into a contract in 1992 with Affiliated Computer Services, Inc., (“ACS”) in which ACS agreed to provide Caremark with data processing and related services. The agreement was amended in 1996.
