Plaintiff appeals the dismissal of its suit for breach of contract. We affirm, for the reasons that follow.

FACTS

Professional Dental Health Network, Inc. (“PDHN”) is a corporation formed primarily to engage in the business of providing discounted referral dental plans to members of health maintenance organizations, employer groups, trade groups and individuals.
