Joseph Selig formed plaintiff, Mario Va-lente Collezioni, Ltd. (“Mario Valente”), ■with a partner, A.E. “Sonny” Dann to sell men’s overcoats wholesale. Dann owned a company, A.E.D. Imports, Inc. (“AED”), which acted as Mario Valente’s factor.
