SCHEINDLIN, District Judge.

Bear Stearns & Co., Inc. (“Bear Stearns”), a New York investment bank, offers clearing services for other broker-dealers through its subsidiary Bear Stearns Securities Corporation (“BSSC”). BSSC served as the clearing firm for broker-dealer A.R. Baron (“Baron”) at a time when Baron engaged in criminal and fraudulent conduct.
