{¶ 1} This matter is before the court upon a complaint filed April 16, 2002, by plaintiffs Monarch Construction Company (“Monarch”) and Ronald A. Koetters (“Koetters”), Chairman of the Board of Monarch, the latter plaintiff filing this *255action as a taxpayer of the state of Ohio pursuant to common-law doctrine.
