SCHROEDER, Justice.

Jill Jenkins sued Scott Jenkins, Linda Hines (Hines), and Doug Jayo (Jayo), the officers and directors of Summer Wind Residence, Inc. (Summer Wind). Jill Jenkins had been a minority shareholder, and she alleged that the officers and directors breached their fiduciary duty by usurping a corporate opportunity that belonged to Summer Wind.
