I. INTRODUCTION

Matanuska - Electric - Association, - Inc. (MEA) filed a complaint with the superior court alleging that Chugach Electric Association, Inc. breached its duties under the parties' agreement to act in good faith and conform to prudent utility practice when it entered into a rate lock with respect to certain long-term debt.
