This is a consolidated appeal from a final judgment entered by the Court of Chancery pursuant to Rule 54(b). This proceeding involves competing requests for relief under section 225 of the Delaware General Corporation Law (the “DGCL”).

At issue is which of two competing factions lawfully controls the board of directors (the “Board”) of EMAK Worldwide, Inc. (“EMAK”).
